Terms of Service

1. Acceptance of these Terms
These Terms of Service (the "Terms") form a binding agreement governing your access to and use of The Local mobile application (the "App") and the loyalty and rewards program offered through it (the "Program"). By downloading, installing, creating an account in, or otherwise using the App, you acknowledge that you have read, understood, and agree to be bound by these Terms and by our Privacy Policy, which is incorporated by reference. If you do not agree, do not use the App.
2. Definitions
- "Operator", "we", "us", "our" means Linkify Solutions Inc.
- "Café" means The Local by Masrawy Inc., on whose behalf the App and Program are operated.
- "App" means The Local mobile application and its supporting services.
- "Member", "you" means an individual who creates or uses an account.
- "Order" means a purchase of food, drink, or other goods placed through the App for pickup at the Café.
- "Wallet" means the prepaid balance you may hold in the App and apply to Orders, as described in Section 11.
- "Payment Processor" means Stripe, Inc. and its affiliates ("Stripe"), which process card, Apple Pay, Google Pay, and Wallet payments on our behalf.
- "Points" / "Rewards" means the loyalty benefits described in Section 9.
3. Who we are; the parties to this agreement
The App is provided and operated by Linkify Solutions Inc. ("Linkify", "we", "us", or "our") on behalf of The Local by Masrawy Inc. (the "Café"). This agreement is between you and Linkify. It is not an agreement with Apple Inc. or Google LLC, and, except as expressly stated in Section 18, those companies are not parties to it.
4. Eligibility
You must be at least 13 years of age to create an account or use the App, and you must have the legal capacity to enter into these Terms. By using the App, you represent and warrant that you meet these requirements and that the information you provide is accurate and complete. One account is permitted per person.
Paid features. You must be the age of majority in your province of residence to load or spend a Wallet balance or to place a paid Order. A Member who has not reached that age may hold an account and earn Points, but may use the Wallet and paid ordering features only with the consent and under the supervision of a parent or legal guardian, who is responsible for those transactions.
5. Your account and security
You are responsible for maintaining the confidentiality of your account and for all activity that occurs under it, including use of your member QR code. You agree to provide true, accurate, current, and complete information and to keep it up to date, and to notify us promptly of any unauthorized use of your account. You may not share, sell, or transfer your account. We may suspend or terminate accounts that we reasonably believe are inaccurate, compromised, or used in violation of these Terms.
Lost devices and unauthorized use. Tell us as soon as possible, using the details in Section 32, if your device is lost or stolen or if you believe your account has been used without your authorization; we will suspend the account on request. Subject to applicable law, you are responsible for Wallet transactions made before you notify us, and the balance remaining in your Wallet is protected from the time we receive your notice. Nothing in this Section limits your rights against your card issuer in respect of a card, Apple Pay, or Google Pay transaction.
6. Licence to use the App
Subject to your compliance with these Terms, we grant you a limited, personal, non-exclusive, non-transferable, non-sublicensable, revocable licence to download and use the App on a device that you own or control, solely for your personal, non-commercial use, and (for the Apple version) as permitted by the Usage Rules in the Apple Media Services Terms and Conditions. All rights not expressly granted are reserved.
7. Intellectual property
The App and all related software, content, designs, trademarks, and other intellectual property are owned by Linkify Solutions Inc. and its licensors and are protected by applicable laws. The names, logos, and marks of The Local by Masrawy are used under authorization from the Café and remain the property of their respective owners. You may not copy, modify, distribute, sell, lease, scrape, reverse-engineer, decompile, or create derivative works from the App except as permitted by law.
Third-party marks. Apple, the Apple logo, Apple Pay, and Apple Wallet are trademarks of Apple Inc., registered in the U.S. and other countries and regions. App Store is a service mark of Apple Inc. Google Pay, Google Wallet, and Google Play are trademarks of Google LLC. Clover is a trademark of Clover Network, LLC, and Stripe is a trademark of Stripe, Inc. These marks are used in the App and in these Terms solely to identify the corresponding services, and their use implies no affiliation with, sponsorship by, or endorsement from their owners.
8. Acceptable use
You agree not to: (a) use the App or the Program for any unlawful, fraudulent, or abusive purpose; (b) create fake or duplicate accounts or manipulate points or rewards; (c) screenshot, reproduce, or attempt to replay a wallet barcode to obtain a benefit you are not entitled to; (d) attempt to gain unauthorized access to the App, other accounts, or our systems; (e) interfere with or disrupt the operation, security, or integrity of the App; (f) copy, scrape, reverse-engineer, or create derivative works except as permitted by law; (g) violate any applicable law or the terms of any third-party service used with the App; (h) pay with a payment method you are not authorized to use, or dispute a charge you know to be valid; or (i) sell, broker, or offer for sale your account, your member QR code, your Points, or any reward, or use the App or the Program for any commercial or resale purpose. We may suspend or terminate access for any violation, and may void Points or rewards obtained or dealt with in breach of this Section.
9. Loyalty points and rewards
- Points are earned on eligible in-store purchases when your member QR code is scanned at the Café's point-of-sale, and on eligible Orders placed through the App. Earning and redemption rules, point values, reward availability, and Program features may vary by branch and may be changed, limited, or discontinued at any time in our discretion.
- Points and rewards are promotional and have no monetary or cash value. They are not your property, do not constitute a stored-value, gift-card, or account balance, and may not be sold, transferred, assigned, or redeemed for cash or any cash equivalent, except where required by applicable law. Selling or brokering Points, rewards, or your account is a breach of Section 8.
- Points are calculated on the amount paid for an eligible purchase or Order and are rounded down to the nearest whole Point.
- Promotional offers. Offers made available to you in the App are personal to you, are not transferable, and may not be sold, copied, or shared. Unless the offer states otherwise, only one offer or reward may be applied to an Order, and offers may not be combined with one another or with a Points redemption. Each offer is subject to any additional terms published with it and may be withdrawn at any time.
- Points expire after twelve (12) months of account inactivity — that is, twelve consecutive months in which no Points are earned and none are redeemed. Earning or redeeming Points restarts that period.
- Points and rewards are forfeited if we suspend or terminate your account, and if your account is permanently closed. Deleting your account does not forfeit your Points immediately; Section 17 sets out the period during which a deleted account, and the Points in it, can be restored.
- We may adjust, withhold, or reverse points and rewards to correct errors or returns, or where we reasonably suspect fraud, abuse, or a violation of these Terms.
- Points earned on an Order are credited when the Order is handed to you at the Café, not when it is placed.
- Points redeemed against an Order are returned to your account if the Order is cancelled or refused by the Café, as described in Section 12. Points redeemed against an Order that is not collected are not returned (see Section 13).
10. Orders and payments
- Placing an Order. An Order you place in the App is an offer to purchase. The Café accepts it when it confirms the Order in the App, and no contract for the purchase exists until then. The Café may refuse an Order (for example, when an item is unavailable or the Café is closing); a refused Order is not charged, and any Wallet balance or Points applied to it are returned to your account.
- Paying. You may pay in Canadian dollars with a payment card, Apple Pay, Google Pay, your Wallet, or a combination of these. Card, Apple Pay, and Google Pay payments are processed by our Payment Processor under its own terms and privacy policy. We never receive or store your card number. By providing a payment method you authorize us and our Payment Processor to charge it for the amount of your Order, including applicable taxes and any tip you add.
- Tips. You may add a tip when you place an Order. A tip is entirely voluntary, is never required to place or receive an Order, and may be set to zero. Tips go to the Café. A tip is charged together with the rest of the Order and, where an Order is cancelled or refused, is refunded with it as described in Section 12.
- Authorization and capture. When you place an Order, the amount is authorized on your payment method and captured when the Café accepts the Order. If the capture fails, the Order is cancelled and any Wallet balance or Points applied are returned to your account.
- Menu information. Menu items, descriptions, images, and availability are drawn from the Café's point-of-sale system and may change at any time. All items are subject to availability at the Café. Images and descriptions are illustrative: the item you receive may differ in appearance, packaging, or presentation.
- Allergens and dietary information. Allergen, ingredient, and dietary information shown in the App is provided for general guidance and may change without notice. Menu items are prepared in a kitchen that handles allergens including nuts, dairy, gluten, eggs, and sesame, and we cannot guarantee that any item is free of any allergen. A note added to an Order is a request and is not a guarantee. If you have a food allergy or a dietary requirement, speak to a member of staff at the Café before consuming an item.
- Prices. Prices, taxes, and fees are shown in the App before you place an Order. Menu items, prices, and availability may change at any time; the price shown when you place an Order is the price you pay. Prices are drawn from the Café's point-of-sale system and may occasionally be displayed in error. Where an Order is placed at a price that is obviously incorrect, the Café may refuse the Order and refund it in full under Section 12 rather than fulfil it at that price. If you believe you have been charged the wrong amount, contact us at the details in Section 32.
- Currency. All amounts in the App are shown and charged in Canadian dollars. If your payment method is denominated in another currency, your card issuer sets the exchange rate and may charge a conversion fee; neither is within our control.
11. Wallet
- The Wallet is a prepaid balance, held in Canadian dollars, that you may load with a payment card, Apple Pay, or Google Pay and apply to Orders placed through the App at the Café. It is a prepayment for the goods and services of the Café. It is not a bank account, a deposit, or an investment; it is not insured; and it earns no interest.
- Wallet funds may be used only for Orders placed in the App at the Café. They may not be redeemed for cash, transferred to another person or account, sold, assigned, or used outside the App, except where required by applicable law.
- Wallet funds do not expire, and we charge no activation, service, dormancy, inactivity, or maintenance fees in connection with the Wallet.
- A load that has not been spent, in whole or in part, is refundable to the original payment method on request made within fourteen (14) days of the load. Once any part of a load has been applied to an Order, that load is not refundable except as provided in Section 12 or as required by applicable law.
- Deleting your account does not forfeit your Wallet balance immediately. The balance is preserved while the account is deactivated and is restored in full if you sign in again within the 120-day period described in Section 17. It is forfeited when the account is permanently closed at the end of that period, and no refund, credit, or other compensation is payable for it.
- You may not delete your account while any part of your Wallet balance is held in connection with an unresolved payment dispute (Section 14). Deletion becomes available once the dispute is resolved.
12. Cancellations and refunds
- Before acceptance. The App does not offer self-service cancellation, and you cannot cancel an Order within the App. To cancel an Order before the Café has accepted it, contact the Café. An Order that is cancelled before acceptance, or that the Café refuses, is refunded in full and automatically — including any tip — to the payment method or methods used.
- After acceptance. Once the Café has accepted an Order it begins preparing it, and the Order may no longer be cancellable. Cancellation after acceptance is at the Café's discretion. Ask a member of staff at the Café or contact us at the details in Section 32.
- Cancellation by the Café. If the Café cannot prepare an accepted Order, it may cancel the Order and refund it in full. Where practicable, the Café will contact you before doing so.
- Unavailable items. Where an item on an accepted Order cannot be provided, the Café may remove it from the Order and refund its price in the manner set out below.
- How refunds are returned. A refund is returned by the same means the payment was made: amounts paid from the Wallet return to the Wallet, amounts paid by card, Apple Pay, or Google Pay return to that payment method, and Points redeemed are credited back as Points. Card refunds appear according to your card issuer's timelines, which are not within our control.
- Tips on a partial refund. A tip is refunded in full where the whole Order is cancelled or refused. Where only part of an Order is refunded, the tip is not adjusted unless you ask us and the Café agrees.
13. Pickup
- An Order is prepared for the pickup time shown in the App. Collect it at the Café counter at that time.
- Orders are held for sixty (60) minutes after the pickup time shown. An Order not collected within that time may be discarded; the amount paid and any Points redeemed for it are not refunded, except where required by applicable law. The Café may, at its sole discretion and on a case-by-case basis, refund or remake an uncollected Order.
- Food and drink are prepared for consumption at the pickup time. We do not warrant the temperature, texture, or quality of an Order collected after its pickup time, and no refund or remake is owed on that account.
- Any person who presents the Order's pickup details — including the pickup code shown in the App, where the Café uses one — may collect the Order. Keep your device and pickup code secure; we are not responsible for an Order collected by someone to whom you disclosed them.
14. Chargebacks and payment disputes
- If you believe a charge is wrong, contact us first (Section 32); most payment issues are resolved within a few days.
- If a payment dispute (chargeback) you raise with your card issuer is decided against you, your account may be restricted from placing Orders and loading the Wallet, and an amount equal to the disputed charge may be held from your Wallet balance until the dispute is resolved. Two disputes suspend online ordering on your account. Restrictions and suspensions are lifted at the Café's discretion.
- Nothing in this Section limits your right to raise a dispute with your card issuer or your rights under applicable consumer-protection law.
15. Changes to the App and Program
We may modify, suspend, or discontinue the App, the Program, or any of their features at any time, with notice where required by law. We are not liable to you for any such change, except as required by applicable law.
If the Program ends. If we discontinue the Program, we will give notice within the App where practicable, and Points that are unredeemed when the Program ends are void. This does not affect your Wallet balance, which remains redeemable or refundable as set out in Section 11.
16. Third-party services and links
The App interoperates with third-party services, including the Café's point-of-sale provider (Clover), our Payment Processor (Stripe, for card, Apple Pay, Google Pay, and Wallet payments), Apple and Google (App distribution, push notifications, Apple Pay and Google Pay, and wallet passes), and email delivery infrastructure. It may also link to third-party websites or services. Those services are governed by their own terms and privacy policies, and we are not responsible for them.
17. Termination
Deleting your account. You may stop using the App and delete your account at any time within the App (Profile → Delete Account). Deleting your account deactivates it immediately: you are signed out on every device and you can no longer use the App. Nothing is erased at that moment, no amount is deducted from your Wallet, and your Points are not forfeited.
Restoring a deleted account. If you sign in again within one hundred and twenty (120) days of deleting your account, the account is restored as it was, including your Wallet balance, your Points, and your Order history.
Permanent closure after 120 days. If you do not sign in within that period, the account is closed permanently. Your name, phone number, email address, and date of birth are removed from the account and your saved payment methods are unlinked. Your Wallet balance and Points are forfeited at that point; they cannot be recovered, and no refund, credit, or other compensation is payable for them. We retain the underlying Order, payment, Wallet, and Points records without those identifying details, so that we can respond to payment disputes and refund requests and meet our accounting and other legal obligations; records connected to an open or unsuccessful payment dispute are retained until that dispute is finally resolved. Section 15 of our Privacy Policy describes this retention in further detail.
Deletion while a balance is held. You may not delete your account while any part of your Wallet balance is held in connection with an unresolved payment dispute (Section 14). Deletion becomes available once the dispute is resolved.
Suspension and termination by us. We may suspend or terminate your access or your account, with or without notice, if you breach these Terms, misuse the Program, or engage in fraud or unlawful conduct, or as required by law. On termination your licence under Section 6 ends and your Points and rewards are forfeited. Any Wallet balance remaining when we terminate your account is refunded to the original payment method, less any amount we are lawfully entitled to withhold in connection with fraud or an unresolved payment dispute.
Survival. The provisions that by their nature should survive termination will survive it, as set out in Section 31.
18. Apple-enabled software (App Store)
If you obtained the App from the Apple App Store, the following additional terms apply, and in the event of any conflict with the rest of these Terms, these terms govern with respect to the Apple version:
a) Acknowledgement. These Terms are between you and Linkify only, and not with Apple. Linkify, not Apple, is solely responsible for the App and its content. These Terms may not be inconsistent with the Apple Media Services Terms and Conditions. b) Scope of licence. The licence granted in Section 6 is non-transferable and limited to use of the App on any Apple-branded product that you own or control, as permitted by the Usage Rules in the Apple Media Services Terms. c) Maintenance and support. Linkify is solely responsible for providing any maintenance and support for the App. Apple has no obligation to furnish any maintenance or support services. d) Warranty. Linkify is solely responsible for any product warranties, whether express or implied, to the extent not effectively disclaimed. If the App fails to conform to any applicable warranty, you may notify Apple, and Apple may refund the purchase price (if any) for the App; to the maximum extent permitted by law, Apple has no other warranty obligation with respect to the App. e) Product claims. Linkify, not Apple, is responsible for addressing any claims by you or a third party relating to the App or your use of it, including product-liability claims, claims that the App fails to conform to legal or regulatory requirements, and claims under consumer-protection or similar law. f) Intellectual property. In the event of any third-party claim that the App or your use of it infringes that party's intellectual property rights, Linkify, not Apple, will be solely responsible for the investigation, defense, settlement, and discharge of any such claim. g) Legal compliance. You represent and warrant that you are not located in a country subject to a U.S. Government embargo or designated as a "terrorist supporting" country, and that you are not listed on any U.S. Government list of prohibited or restricted parties. h) Developer contact. Questions, complaints, or claims regarding the App should be directed to Linkify at the contact details in Section 32. i) Third-party terms. You must comply with any applicable third-party terms of agreement when using the App. j) Third-party beneficiary. You acknowledge and agree that Apple, and Apple's subsidiaries, are third-party beneficiaries of these Terms, and that, upon your acceptance of these Terms, Apple will have the right (and will be deemed to have accepted the right) to enforce these Terms against you as a third-party beneficiary.
19. Google Play
If you obtained the App from Google Play, your use is also subject to the Google Play Terms of Service. This agreement is between you and Linkify, not Google.
20. Disclaimers
THE APP, ITS CONTENT, AND THE PROGRAM ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OR CONDITIONS OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WITHOUT LIMITATION ANY IMPLIED WARRANTIES OR CONDITIONS OF MERCHANTABILITY, MERCHANTABLE QUALITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE APP WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF CERTAIN WARRANTIES OR CONDITIONS, SO SOME OF THE ABOVE EXCLUSIONS MAY NOT APPLY TO YOU.
21. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL LINKIFY, THE CAFÉ, OR THEIR RESPECTIVE AFFILIATES, DIRECTORS, OFFICERS, EMPLOYEES, OR SERVICE PROVIDERS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATING TO YOUR USE OF OR INABILITY TO USE THE APP OR THE PROGRAM. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS RELATING TO THE APP OR THE PROGRAM WILL NOT EXCEED THE GREATER OF (A) ONE HUNDRED CANADIAN DOLLARS (CAD $100) AND (B) THE AMOUNTS YOU ACTUALLY PAID FOR THE ORDER GIVING RISE TO THE CLAIM TOGETHER WITH ANY BALANCE THEN HELD IN YOUR WALLET. NOTHING IN THESE TERMS EXCLUDES OR LIMITS ANY LIABILITY OR RIGHT THAT CANNOT LAWFULLY BE EXCLUDED OR LIMITED, INCLUDING UNDER APPLICABLE CONSUMER-PROTECTION LEGISLATION (SUCH AS THE ONTARIO *CONSUMER PROTECTION ACT, 2002* OR THE QUEBEC *CONSUMER PROTECTION ACT*).
22. Indemnification
To the extent permitted by applicable law, you agree to indemnify and hold harmless Linkify and the Café and their respective affiliates and personnel from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or related to your misuse of the App or the Program, your violation of these Terms, or your violation of any law or the rights of a third party. This Section does not apply to the extent such indemnification is prohibited by applicable consumer-protection law.
23. Dispute resolution
Informal resolution first. If you have a concern or dispute, please contact us at info-thelocal@linkifysolutions.com before commencing any formal proceeding. You agree to give us at least 30 days to resolve the matter informally, and most concerns can be resolved this way.
Arbitration and waivers (to the extent permitted by law). To the fullest extent permitted by applicable law, any dispute not resolved informally will be finally settled by binding arbitration on an individual basis, seated in Ontario, Canada; and, to the fullest extent permitted by applicable law, you and Linkify each waive any right to a trial by jury and any right to participate in a class, collective, consolidated, or representative proceeding.
Preservation of consumer rights. Nothing in this Section applies to, limits, or waives any right that cannot lawfully be waived. If you are a consumer in a jurisdiction whose law preserves your right to bring or participate in court or class proceedings — including Ontario under the *Consumer Protection Act, 2002* and Quebec under the *Consumer Protection Act* — that right is not affected by this Section, this Section's arbitration and class-waiver provisions do not apply to you to the extent prohibited, and nothing here prevents you from bringing a claim in a small-claims court or filing a complaint with a court, tribunal, or regulatory authority.
24. Governing law and jurisdiction
These Terms are governed by and construed in accordance with the laws of the Province of Ontario and the applicable federal laws of Canada, without regard to conflict-of-laws principles. Subject to Section 23, you agree to the exclusive jurisdiction of the courts located in Ontario, Canada. Nothing in this Section deprives you of the protection of the mandatory consumer-protection laws of your province of residence.
25. Feedback
If you provide us with suggestions, ideas, or other feedback about the App or the Program, you agree that we may use it without restriction or obligation to you, and you grant us a perpetual, irrevocable, royalty-free licence to do so.
26. Force majeure
We are not liable for any failure or delay in performance caused by events beyond our reasonable control, including acts of God, natural disasters, outages, network or provider failures, labour disputes, or governmental actions.
27. Electronic communications
You consent to receive communications, notices, and records from us electronically — including by in-App message, email, or push notification — and you agree that electronic communications satisfy any legal requirement that such communications be in writing. Commercial electronic messages, if any, are subject to your consent and include an unsubscribe mechanism as described in our Privacy Policy.
Account, Order, and Program notices are transactional. They are sent for as long as your account is open, are not marketing, and cannot be unsubscribed from separately, although you may control push notifications in your device settings.
28. Notices
We may provide notices to you through the App, by email, or by push notification. You may provide notices to us at the contact details in Section 32.
29. Assignment
You may not assign or transfer these Terms or your account without our prior written consent. We may assign these Terms, in whole or in part, including in connection with a merger, acquisition, reorganization, or sale of assets.
30. Severability; entire agreement; waiver
If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full force and effect. These Terms, together with the Privacy Policy, constitute the entire agreement between you and us regarding the App and supersede any prior agreements. Our failure to enforce any provision is not a waiver of our right to do so later.
31. Survival
Sections that by their nature should survive termination — including Sections 7 (Intellectual property), 9 (as to accrued forfeiture), 11 (Wallet, as to refunds owed), 12 (Cancellations and refunds), 13 (Pickup), 14 (Chargebacks and payment disputes), 18 (Apple-enabled software), 20 (Disclaimers), 21 (Limitation of liability), 22 (Indemnification), 23 (Dispute resolution), 24 (Governing law), and 25 (Feedback) — will survive.
32. Changes to these Terms; contact
We may modify these Terms from time to time. Material changes will be posted here with an updated effective date and, where appropriate, communicated within the App. Your continued use of the App after a change takes effect constitutes your acceptance of the revised Terms.
